Smart Ads Terms & Conditions

Last updated: September 21, 2026 Effective date: September 21, 2026

These Smart Ads Terms & Conditions ("Smart Ads Terms") are a supplemental agreement between you ("Creator", "you") and MediaCreators, LLC ("MediaCreators", "we", "us"). These terms govern your use of the Smart Ads and Ad Network features available through the MediaCreators platform.

By activating Smart Ads or Ad Network features within your Streaming Community, you agree to be bound by these Smart Ads Terms in addition to our general Terms of Service.

1. Scope and Acceptance

These Smart Ads Terms supplement the general Terms of Service ("General Terms"). They apply whenever you activate or use Smart Ads or Ad Network features within the MediaCreators platform.

The General Terms apply to all matters not specifically addressed by these Smart Ads Terms. In the event of a conflict between these Smart Ads Terms and the General Terms regarding advertising features, these Smart Ads Terms prevail.

2. Definitions

  • "Impression" — A single display of an ad creative to a unique viewer within a session, as counted by our tracking system.
  • "CPM" — Cost per thousand (mille) impressions.
  • "Campaign" — A set of ad creatives, placements, and targeting rules configured by the Creator.
  • "Placement" — A designated ad space within the Streaming Community, as defined in the Ad Catalog.
  • "Ad Catalog" — The published specification of available placements, formats, and sizes, accessible within the Platform.
  • "Smart Ad" — A first-party ad campaign created and managed by the Creator through the Platform.
  • "Ad Network Placement" — A third-party ad slot served by an external ad network (e.g., Google Ad Manager, AdSense).
  • "Streaming Community" — The Creator's project space on the Platform.
  • "Creative" — The image, text, or media content displayed in an ad placement.

3. Impression Billing

All Smart Ad campaigns are billed on a CPM basis according to the Creator's contracted plan.

Each plan includes a base allocation of included impressions per billing period (default: 25,000). Impressions beyond the included allocation are billed at the plan's overage rate (default: USD $1.50 per CPM).

Plan-specific pricing and included impression allocations may vary and are subject to the terms of the Creator's individual plan agreement.

Impressions are counted uniformly across all placement types — billing does not vary by placement. Impression counting uses session-based deduplication; the methodology is determined by MediaCreators and is considered final for billing purposes.

The billing period aligns with the Creator's subscription billing cycle. All fees are in USD unless otherwise stated in the Creator's plan agreement.

4. Ad Catalog and Placements

All placements must conform to the published Ad Catalog, accessible within the Platform. The Ad Catalog defines placement zones, supported formats, dimensions (desktop and mobile), and IAB compliance requirements.

MediaCreators may update the Ad Catalog with thirty (30) days' prior written notice. Active campaigns on modified or removed placements will be paused, and the Creator will be notified.

Current placement zones include Home, Player, and Content, with specific placements as detailed in the Ad Catalog.

5. Home Zone Third-Party Limits

Each Streaming Community may display a maximum of two (2) Ad Network Placements in the Home zone.

Smart Ads (first-party campaigns created by the Creator) are not subject to this limit and follow the Ad Catalog specifications.

This limit applies per Streaming Community (project), not per page view or session.

6. Ad Network Placements (Third-Party)

When the Creator enables third-party ad network integrations (e.g., Google Ad Manager, Google AdSense), the Creator agrees to comply with the respective ad network provider's terms and policies.

MediaCreators does not control the content of third-party ads and disclaims all liability for such content.

Revenue from Ad Network Placements is handled directly by the ad network provider, not by MediaCreators. MediaCreators automatically generates the required ads.txt entries for configured ad networks.

The Creator is responsible for maintaining valid ad network accounts and configurations.

7. Creative Requirements and Responsibility

The Creator is solely responsible for the content of their Smart Ad creatives. All creatives must comply with the Platform's Community Standards and all applicable laws and regulations.

MediaCreators does not review or approve creatives before publication. Creatives must be provided in the formats and dimensions specified by the Ad Catalog (desktop creative is required; mobile creative is optional).

MediaCreators reserves the right to remove any creative that violates the Community Standards or applicable laws, without prior notice.

8. Tracking, Metrics, and Reporting

MediaCreators provides an analytics dashboard with impression and click metrics per campaign. Metrics are provided on a reasonable-efforts basis and may experience minor delays or variances.

The impression counting methodology, including session-based deduplication, is determined solely by MediaCreators. Billing is based on MediaCreators' impression counts, which are final and binding for billing purposes.

Click tracking is handled through the Platform's redirect service.

9. Fraud and Abuse

Artificial inflation of impressions or clicks — including but not limited to the use of bots, click farms, automated scripts, or incentivized clicking — is strictly prohibited.

MediaCreators may suspend campaigns and/or the Creator's account upon detection of fraudulent or abusive activity. Impressions identified as fraudulent may still be billed if generated by the Creator's actions or negligence.

MediaCreators reserves the right to adjust billing for detected invalid traffic at its sole discretion.

10. Modifications

MediaCreators may modify these Smart Ads Terms with thirty (30) days' prior notice via email or Platform notification. Continued use of Smart Ads features after the notice period constitutes acceptance of the modified terms.

Material changes to pricing or billing terms require sixty (60) days' prior notice. Changes to the Ad Catalog follow the notice period specified in Section 4.

11. Termination and Effect

The Creator may deactivate Smart Ads at any time from their project settings. Upon deactivation, all active campaigns are paused immediately.

Impressions served before deactivation are billed according to the applicable plan terms. Unused included impressions do not carry over between billing periods and are not refundable.

Termination of the general Terms of Service automatically terminates these Smart Ads Terms.

12. Limitation of Liability

MediaCreators' total aggregate liability under these Smart Ads Terms shall not exceed the total fees paid by the Creator for Smart Ads features in the twelve (12) months immediately preceding the event giving rise to the claim.

MediaCreators shall not be liable for: (a) revenue lost due to ad network outages, suspensions, or policy changes; (b) the content of third-party advertisements; or (c) impression count variances within industry-standard margins.

13. Governing Law

These Smart Ads Terms are governed by and construed in accordance with the same governing law and jurisdiction as specified in the general Terms of Service.
